  1. Documents Required
    1. Company bank details for C&G to be provided for assignment of the letter of credit.
    2. Company certificate of existence from C&G stating company is in good standing.
    3. Exclusive rights to sell or rights for the sale or title to the equipment referred to in YY-2311 to be supplied by C&G and/or by John.
    4. Philippine principal documentation (see item 4.8).
  2. Statements of Fact
    1. Escrow copy with clear purpose for purchase of equipment in will be sent and shared with John and C&G.
    2. Mechanics of converting escrow amount to cash and/or inclusion in master letter of credit will be discussed and agreed in writing.
    3. Letter of credit will be sent and shared with John and C&G and eventually transferred to the Philippine principal.
    4. APE will make a final offer after inspection; if customer is willing and able to open the letter of credit, the agreed purchase price will be set.
    5. Cost to John/C&G will be disclosed so that transfer letter of credit amount will be transferred to the Philippine principal.
    6. Assignment portion of C&G and/or John’s profit will be assigned to C&G and/or John.
    7. Letter of credit is transferrable to the Philippine principal, payable against clean on-board bill of lading.
    8. Acceptance of a transfer letter of credit by the Philippine principal is paramount.
